Welcome to Embox! These Terms of Service ("Terms") govern your access to and use of the Embox e-learning platform (the "Platform") during its beta phase. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Acceptance of Terms

By accessing or using the Platform, you signify your agreement to comply with and be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Platform.

2. Beta Phase

Embox is currently in its beta phase, meaning the Platform is still under development and testing. As such, you acknowledge that the Platform may contain bugs, errors, or incomplete features, and may be subject to periods of interruption or instability.

We appreciate your feedback during this period to help us improve the Platform. Features and functionalities are subject to change without notice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform. If you are under 18, you may only use the Platform with the consent and under the supervision of a parent or legal guardian who agrees to be bound by these Terms. By accessing or using the Platform, you represent and warrant that you meet these requirements.

4. Account Registration

To use certain features of the Platform, you will be required to create an account. You agree to:

1. Provide accurate, current, and complete information during the registration process.
2. Maintain and promptly update such information to keep it accurate, current, and complete.
3. Safeguard your password and be solely responsible for any activities or actions under your account, whether or not you have authorized such activities or actions. You must notify Embox immediately of any unauthorized use of your account.
4. Not share your account credentials with any third party.

5. Use of the Platform and User Acknowledgements

During the beta phase, the Platform is offered to you free of charge for your personal, non-commercial educational use. However, Embox reserves the right to introduce fees for certain features, content, or overall access in the future, upon reasonable notice.

You agree to use the Platform solely for lawful educational purposes and in compliance with all applicable laws and these Terms.

By using the Platform, particularly when enrolling in courses, you acknowledge and agree that your personal information, including your full name, email address (or username), and your activity within each course (such as statistics, progress, submissions, and grades), will be accessible to the instructor(s) of such courses. This access is essential for the provision of educational services, including teaching, guidance, and assessment, as further detailed in our Privacy Policy.

6. Content

1. Platform Content: All content provided by Embox or its licensors, including but not limited to courses, lessons, videos, text, graphics, software, and exercises ("Platform Content"), is owned by or licensed to Embox and is protected by copyright and other intellectual property laws. Embox grants you a limited, non-exclusive, non-transferable, revocable license to access and use Platform Content solely for your personal, non-commercial educational purposes in connection with your use of the Platform.
2. User-Generated Content (UGC): The Platform may allow you to submit, post, upload, or otherwise make available content such as assignments, forum posts, comments, project submissions, or other materials ("User-Generated Content" or "UGC").
3. Ownership: You retain ownership of any intellectual property rights that you hold in your UGC.
4. License to Embox: By submitting UGC to the Platform, you grant Embox a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your UGC in connection with operating, providing, marketing, and improving the Platform and Embox's services. This license continues even if you stop using the Platform, for instance, to maintain course records or shared content.
5. License to Other Users: For UGC you submit to shared areas of the Platform (e.g., course forums) or that is intended for review by specific users (e.g., assignments for instructors), you also grant other users (such as instructors for your assignments, or peers in a forum if applicable) a license to access and use your UGC as necessary for the intended functionality of the Platform and these Terms (e.g., for instructors to view, grade, and provide feedback on your submissions).
6. Responsibility for UGC: You are solely responsible for your UGC and the consequences of posting or publishing it. You represent and warrant that:
   • you are the creator and owner of the UGC, or have the necessary licenses, rights, consents, and permissions to authorize Embox and users of the Platform to use and distribute your UGC as necessary to exercise the licenses granted by you in this section; and
   • your UGC, and the use of your UGC as contemplated by these Terms, does not and will not:
     • infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
     • slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or
     • cause Embox to violate any law or regulation.
7. Monitoring and Removal: Embox has no obligation to monitor UGC. However, Embox reserves the right to review, screen, edit, or remove any UGC at its sole discretion, at any time and for any reason, without notice, if it violates these Terms, applicable law, or is otherwise deemed objectionable.

7. Code of Conduct and Prohibited Uses

You agree not to, and not to permit others to:

7.1 General Prohibitions:

• Use the Platform for any illegal, fraudulent, deceptive, or unauthorized purpose.
• Attempt to interfere with, disrupt, damage, or compromise the integrity, security, or performance of the Platform, its servers, or networks.
• Copy, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of any part of the Platform or Platform Content, except as expressly permitted by these Terms or applicable law.
• Engage in any activity that could disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform.
• Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission, or bypass any measures we may use to prevent or restrict access to the Platform.
• Sell, rent, lease, sublicense, or otherwise transfer your access to the Platform or your account.

7.2 User Interaction and Content Standards:

• Submit, share, or transmit any UGC that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Harass, threaten, stalk, defame, or otherwise abuse other users, instructors, or Embox personnel.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Violate the academic integrity of the Platform. This includes, but is not limited to, cheating on assignments or exams, plagiarism (representing another's work as your own), unauthorized collaboration, or any other form of academic dishonesty.
• Share answers to quizzes, exams, or assignments in a way that undermines the learning experience of others.
• Collect, solicit, or store personal data about other users without their express consent or as explicitly permitted by the functionality of the Platform and our Privacy Policy.

8. Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform ("Feedback"). You may submit Feedback by emailing us or through other communication channels. By submitting Feedback, you grant Embox a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback in any form and for any purpose, including to incorporate such Feedback into the Platform, without any obligation or compensation to you.

9. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, protect, and share your personal information. You agree that your use of the Platform is governed by the Privacy Policy.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available" basis, especially during this beta phase, without any warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, Embox and its affiliates, licensors, and suppliers disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Embox does not warrant that the platform will be uninterrupted, error-free, secure, free of viruses or other harmful components, or that defects will be corrected. You acknowledge that your use of the platform is at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall embox, its affiliates, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses, resulting from:

• your access to or use of, or inability to access or use, the platform;
• any conduct or content of any third party on the platform, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties;
• any content obtained from the platform;
• unauthorized access, use, or alteration of your transmissions or content; or
• any bugs, viruses, trojan horses, or the like that may be transmitted to or through our platform by any third party.

Whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not embox has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

In no event shall embox's aggregate liability for all claims relating to the platform exceed the greater of one hundred U.S. dollars (USD $100) or the amount you paid embox, if any, in the past six months for the services giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Embox, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Platform;
• Your User-Generated Content;
• Your violation of these Terms or our Privacy Policy;
• Your violation of any applicable law or regulation; or
• Your violation of any third-party rights, including any intellectual property right, publicity, confidentiality, property, or privacy right.

Embox reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

13. Termination

• Termination by You: You may terminate your account and these Terms at any time by ceasing to use the Platform and requesting account deletion if such an option is available.
• Termination by Embox: We may suspend or terminate your access to and use of the Platform, in whole or in part, at our sole discretion, at any time, with or without cause, and with or without notice, particularly if we believe you have violated these Terms.
• Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms will immediately cease. Sections 6 (Content, specifically 6.2.b, 6.2.d), 8 (Feedback), 9 (Privacy), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and any other provisions that by their nature should survive termination, will survive termination. Embox will not be liable to you or any third party for any termination of your access to the Platform.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the competent courts located in Israel, to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of the Platform.

15. Changes to Terms

Embox reserves the right to review and amend any of these Terms at our sole discretion from time to time. Upon doing so, we will update this page and may provide you with reasonable notice of material changes, such as by posting a notification on our Website or sending an email to the address associated with your account. The "Last Updated" date at the top of these Terms will indicate when the latest modifications were made.

Unless otherwise stated, any changes to these Terms will take effect immediately upon their posting. Your continued use of the Platform after Embox provides such notice of changes will confirm your acceptance of the revised Terms. If you do not agree to the amended Terms, you must stop accessing and using the Platform. We recommend that you review these Terms periodically for updates.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Embox on the Platform, constitute the entire agreement between you and Embox concerning your use of the Platform.
• Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
• No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Embox's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Embox without restriction.
• Headings: The section titles in these Terms are for convenience only and have no legal or contractual effect.
• Notices: Embox may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Platform.
